1. Acceptance of Terms
These Terms and Conditions (“Terms”) govern your access to and use of the PEDA mobile application and website (peda.ng), operated by PEDA Digital Service Limited (“PEDA”, “we”, “our”, or “us”), a company registered under the Corporate Affairs Commission (CAC) of the Federal Republic of Nigeria.
By registering for an account, accessing, or using any of our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.
2. Eligibility
To use PEDA, you must:
- Be at least 18 years of age
- Be a resident of Nigeria or have a valid Nigerian bank account
- Be capable of entering into a legally binding agreement
- Not have been previously suspended or removed from the Platform
By creating an account, you represent and warrant that you meet all eligibility requirements.
3. Account Registration and Security
To access our services, you must create an account by providing your first name, last name, username, email address, phone number, and a secure password.
You are responsible for:
- Providing accurate and truthful information during registration
- Maintaining the confidentiality of your account credentials, including your password and transaction PIN
- All activities that occur under your account
- Notifying us immediately of any unauthorised access to or use of your account
PEDA shall not be liable for any loss or damage arising from your failure to protect your account credentials.
4. Know Your Customer (KYC) Verification
In compliance with Nigerian financial regulations, including the Central Bank of Nigeria (CBN) guidelines and Anti-Money Laundering/Combating the Financing of Terrorism (AML/CFT) requirements, you are required to complete identity verification before accessing certain services.
KYC verification requires:
- Bank Verification Number (BVN) — for identity verification
- National Identification Number (NIN) — for identity verification
- Residential Address — for address verification
Providing false, fraudulent, or misleading KYC information may result in immediate account suspension or termination and may be reported to relevant authorities.
5. Services
5.1 Local Money Transfers
PEDA allows you to transfer funds to Nigerian bank accounts. All transfers are subject to applicable transaction limits and fees. Transfers are processed based on banking network availability, and PEDA is not responsible for delays caused by recipient banks or payment processors.
5.2 Airtime and Data Purchases
You may purchase airtime and data bundles for Nigerian mobile networks through the Platform. All purchases are final once processed and are non-refundable, except in cases of confirmed service failure on our part.
5.3 Gift Card Trading
PEDA purchases gift cards from users. Gift card trades are subject to our prevailing rates, which may change without prior notice. Once a gift card trade is confirmed and payment is made, the transaction is final and irreversible. You warrant that any gift card you sell to PEDA is legitimately obtained and has not been acquired through fraudulent means.
5.4 Cryptocurrency Trading
PEDA facilitates the buying and selling of cryptocurrency. Cryptocurrency values are volatile and may change rapidly. PEDA does not guarantee any specific value or return on cryptocurrency transactions.
Cryptocurrency trading carries inherent risks, including the potential loss of funds. You agree to trade at your own risk.
6. Transaction Authentication
For your security, PEDA requires authentication for all financial transactions. This may include a transaction PIN set by you during account setup, and/or biometric authentication (fingerprint or face recognition) where supported by your device.
You must not share your transaction PIN with any person. PEDA will never ask you for your PIN or biometric data outside of the Platform.
7. Fees and Charges
Certain services on the Platform may attract fees or charges. Applicable fees will be displayed to you before you confirm a transaction. PEDA reserves the right to modify its fee structure at any time, with updated fees displayed on the Platform.
8. Prohibited Activities
You agree not to use the Platform for any of the following:
- Money laundering, terrorism financing, or any illegal financial activity
- Fraud, identity theft, or impersonation of any person
- Trading stolen, counterfeit, or fraudulently obtained gift cards
- Using the Platform to receive or transfer proceeds of crime
- Attempting to gain unauthorised access to other users’ accounts or PEDA’s systems
- Reverse engineering, decompiling, or disassembling the Platform software
- Using bots, scripts, or automated tools to interact with the Platform without authorisation
- Any activity that violates applicable Nigerian laws or regulations
Violation of these prohibitions may result in immediate account suspension or termination, forfeiture of funds, and referral to law enforcement authorities.
9. Account Suspension and Termination
PEDA reserves the right to suspend, restrict, or terminate your account at any time if:
- You breach any provision of these Terms
- We suspect fraudulent, illegal, or suspicious activity on your account
- You fail to complete required KYC verification
- We are required to do so by a court order or regulatory directive
- Your account has been inactive for an extended period as defined by applicable regulations
In the event of termination, any pending legitimate transactions will be processed or refunded at PEDA’s discretion, subject to applicable laws.
10. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- PEDA provides the Platform on an “as is” and “as available” basis without warranties of any kind, whether express or implied
- PEDA shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Platform
- PEDA shall not be liable for losses caused by banking network failures, internet connectivity issues, or circumstances beyond our reasonable control
- PEDA’s total liability for any claim shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
11. Indemnification
You agree to indemnify, defend, and hold harmless PEDA Digital Service Limited, its directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including legal fees) arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.
12. Intellectual Property
All content, trademarks, logos, designs, software, and other intellectual property on the Platform are the exclusive property of PEDA Digital Service Limited or its licensors. You may not copy, reproduce, distribute, or create derivative works from any part of the Platform without our prior written consent.
13. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the use of the Platform shall be resolved as follows:
Informal Resolution: You agree to first attempt to resolve any dispute informally by contacting our support team at support@peda.ng.
Mediation: If the dispute cannot be resolved informally within thirty (30) days, either party may refer the matter to mediation under the rules of the Lagos Court of Arbitration.
Arbitration: If mediation fails, the dispute shall be settled by binding arbitration in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act of Nigeria.
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
14. Modifications to These Terms
PEDA reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PEDA Digital Service Limited with respect to your use of the Platform, and supersede all prior or contemporaneous communications and proposals.
